Tata Sons AGM adjourned over quorum crisis amid trust restrictions
Tata Sons is one of India's biggest companies.
Every year it has to hold a meeting for its owners called an annual general meeting, or AGM.
This year's AGM was held on August 18, but it had to be stopped because not enough important people arrived.
That has never happened before in the company's history.
The reason is that a trust called the Sir Ratan Tata Trust, which owns a big part of the company, was told by a government official to stop holding its own meetings.
Because of that, the trust could not help pick a special person who needed to be present for the meeting to start.
The company's rules say that if that person is not there within half an hour, the meeting is cancelled for that day.
The owners were supposed to approve getting their share of the profits and vote on keeping the chairman as a director.
The chairman, N Chandrasekaran, has already said he will leave when his term ends next February.
The company's board will now meet again to choose a new date for the AGM.
Tata Sons' 108th annual general meeting was adjourned on August 18 after quorum was not met within half an hour, marking the first such adjournment in the holding company's history.
The quorum failure occurred because the Sir Ratan Tata Trust, barred from holding board meetings by a May directive of the Maharashtra Charity Commissioner, could not jointly nominate a representative with the Sir Dorabji Tata Trust.
Pending AGM items include the FY26 financial statements, a dividend of Rs 1,10,717 per share (total payout of Rs 4,478.58 crore, up 70.6% year on year) and the reappointment of N Chandrasekaran as a director.
Chandrasekaran, who announced on August 12 he would not seek another term as chairman, is expected to continue as a director until a legally valid meeting is held.
SRTT's board has three lifetime trustees — Jimmy Naval Tata, Jehangir HC Jehangir and Noel Naval Tata — making up 50% of the board, above the 25% cap under Section 30A(2) of the amended Maharashtra Public Trusts Act.
