SSR Mining to acquire Roxmore Resources in $712-million deal

SSR Mining agreed to buy Roxmore Resources in a deal valued at $712 million.

The deal includes Roxmore’s Converse gold project in Nevada, which is six kilometres west of SSR Mining’s Marigold mine.

SSR Mining says Converse would add a large gold resource beside its existing operation.

Roxmore shareholders will receive $6.75 in cash and 0.33 share in a new company for each share they own.

That new company will hold Roxmore’s Rattlesnake Hills and Shabu River projects and its Newton property.

It will receive US$10 million in cash and be led by Roxmore’s current management.

Former Roxmore shareholders will own 85.01 per cent of the new company, with SSR Mining owning the rest.
