Sebi extends IPO issue-size flexibility by six months
India’s markets regulator extended IPO issue-size flexibility by six months on Tuesday.
The Securities and Exchange Board of India, or Sebi, said companies can increase or decrease the size of an initial public offering without seeking fresh regulatory approval.
The extension covers IPOs opening on or before March 31, 2027, replacing an earlier deadline for prospectuses filed by September 30, 2026.
This flexibility is intended to help companies adjust to market volatility without incurring extra listing compliance costs.
Lead managers must update the offer documents and make an addendum public if the issue size changes.
They must also keep the offering’s main purpose unchanged, follow Sebi rules, conduct due diligence and explain the revision.
The change aims to make fundraising more adaptable as companies respond to market conditions and business needs.
