AVID makes $5.40-a-security takeover proposal for Ingenia Communities
AVID Property Group has proposed buying all of Ingenia Communities for cash, involving the Australian communities operator and its securityholders.
The offer is $5.35 per security, or up to $5.40 if a permitted distribution of $0.05 is included.
The proposal is non-binding and subject to due diligence, regulatory approvals and other conditions.
Ingenia’s board has not recommended it, and the company’s existing agreement with Peet Limited remains in place.
Ingenia has given AVID up to six weeks of soft exclusivity to review the business and negotiate a binding agreement, while retaining the ability to consider a better offer.
There is no guarantee the proposal will become a completed takeover, and Ingenia says it will keep investors updated.
Ingenia Communities received an unsolicited, non-binding takeover proposal from AVID Property Group.
AVID offered $5.35 in cash per stapled security, with a permitted distribution that could bring the total to $5.40.
The proposal is conditional on due diligence, board support, regulatory approvals and ending Ingenia’s existing agreement with Peet Limited.
Ingenia granted AVID up to six weeks of “soft” exclusivity while AVID conducts due diligence and negotiates.
Ingenia has not recommended the proposal or declared it superior to its agreement with Peet.
