Noel Tata challenges minutes approving Chandrasekaran's reappointment
Noel Tata is disputing Tata Sons’ board minutes over its decision to reappoint N. Chandrasekaran as executive chairman.
The decision was approved at a 17 September board meeting and would give Chandrasekaran a third five-year term starting in February 2027.
Noel says the minutes omit two conditions directors agreed to: getting a legal opinion and first securing shareholder approval of Chandrasekaran’s directorship.
He has also asked for the meeting’s recordings and signed minutes, saying he has not received them.
Tata Sons did not make the requested changes and filed with the Registrar of Companies about the reappointment.
The dispute puts the board at odds with Tata Trusts, which owns 65.9% of Tata Sons; the sources do not say what happens next.

What people are saying
presents a contested and void resolution as a concluded act of the board, and conveys a false impression to the public, to the company’s stakeholders and to its regulators.
The minutes must record what transpired at the meeting.
The recording is the only neutral record of what transpired, and there can be no legitimate reason to withhold it from a director who was present at the meeting and who has placed his objections on record.
