Coca-Cola India bottler files draft papers for share-sale IPO

Hindustan Coca-Cola Holdings has filed draft papers for an IPO in India.

HCCH is the parent company of Hindustan Coca-Cola Beverages, which runs Coca-Cola’s bottling business in the country.

The proposed offering is an offer for sale of up to 997.5 million shares by majority shareholder Hindustan Coca-Cola Overseas Holdings.

Because no new shares are being issued, all proceeds will go to the selling shareholder, not HCCH.

The seller currently owns 60% of HCCH and plans to reduce its holding to about 45%; Jubilant Beverages will keep its 40% stake and is not taking part in the sale.

Coca-Cola has been shifting some bottling operations to franchise partners as part of a broader move towards an asset-light, franchise-led model.

The draft filing gives no price or issue size, and the next steps and timing have not been specified.
