Ex-CJI Ramana to Arbitrate Hero Group ESOP Dispute
Imagine a company promised a former employee, Mr. Jain, shares in the company instead of cash.
These shares are like special rewards, called ESOPs.
Later, the company said they'd give him cash instead.
But Mr. Jain didn't think the cash amount was fair.
So, they went to court.
Now, a very important person, a former Chief Justice, will act as a judge to decide if the cash is a good deal for Mr. Jain, or if he should get the shares.
This is because he had an agreement, which he believed gave him the shares, but the company wanted to pay him cash.
The court agrees with Jain, meaning the old ESOP policy applies.
Former CEO Sunil Jain is disputing a cash compensation offer from Hero Future Energies.
The dispute concerns the valuation of the cash compensation offered instead of ESOPs.
N V Ramana, former Chief Justice of India, will arbitrate the case.
Jain resigned in 2020, and the compensation offer came in 2023.
The Delhi High Court appointed Ramana after the company objected to an arbitrator.
