Tata Sons AGM Quorum Issue May Not Remove Chandrasekaran
Tata Sons is holding a big meeting on August 18 to decide if N Chandrasekaran will stay on the board.
Some people worry that the meeting might not have enough people to be valid because a trust called SRTT is not allowed to meet right now.
If the meeting is not valid, the vote on Chandrasekaran could be postponed.
Lawyers say that even if the vote is postponed, Chandrasekaran might still keep his job until February 2027.
The final decision will depend on the company’s rules and the law in India.
Tata Sons AGM scheduled for August 18, 2024
AGM may lack quorum because Sir Ratan Tata Trust is barred from meetings
Legal experts say a quorum failure may only defer, not remove, Chandrasekaran’s directorship
Section 152(7) of the Companies Act could keep a retiring director in office if not expressly removed
The outcome depends on Tata Sons’ Articles of Association and Indian company law
