Devyani and Sapphire Foods Merge to Form Yum! India Franchisee
Two big companies that run KFC and Pizza Hut in India, Devyani International and Sapphire Foods, are merging to form a single company called Yum!
India Franchisee.
This means they will combine their restaurants and work together.
Devyani will give Sapphire shareholders new shares in exchange for their old ones.
The merged company will have more than 3,000 restaurants and will be bigger and stronger.
They hope this will help them save money and grow faster.
The deal needs approval from regulators and will take about a year to finish.
Both companies are currently making losses, but they believe that together they can do better.
Some investors are happy about the merger, as seen by the rise in Devyani's shares, while others are worried, as seen by the drop in Sapphire's shares.
Devyani International and Sapphire Foods India are merging to form a unified Yum! India Franchisee for KFC and Pizza Hut.
The merger will be structured through a share-swap mechanism with a ratio of 177 Devyani shares for every 100 Sapphire shares.
The combined entity will operate over 3,000 restaurants, making it one of the largest QSR platforms in India.
The merger aims to achieve annual synergies of ₹210 to 225 crore and is expected to complete in 12-15 months, subject to regulatory approvals.
Both companies are currently operating at a loss, but the merger is expected to unlock cost synergies and operational efficiencies.
