PhonePe IPO: Shareholders Opt to Hold
PhonePe is planning to go public in 2026, but most of its shareholders, including its founders and employees, don't want to sell their shares.
The IPO is mainly to meet a rule that says companies must have at least 10% of their shares held by the public.
Walmart, the biggest shareholder, is selling some of its shares to meet this rule, but it's not because they want to make a profit.
Other investors like Tiger Global and Microsoft are also selling small parts of their shares.
General Atlantic, another investor, recently bought more shares, but this was not to make money but to help the founders and employees pay taxes.
Most shareholders are keeping their shares because they believe PhonePe will keep growing and becoming more valuable.
PhonePe's IPO is structured as an Offer for Sale (OFS) with Walmart selling around 9% of its stake to meet SEBI's public shareholding requirement.
Only Tiger Global and Microsoft are participating in the OFS alongside Walmart, selling 0.2% and 0.7% of their stakes respectively.
General Atlantic increased its stake to 8.9% through a $600 million investment in 2025, but this was not a liquidity event for insiders.
Founders and employees sold only 39% of their vested shares to General Atlantic solely to meet tax obligations.
The limited size of the OFS indicates strong long-term confidence in PhonePe's business fundamentals and growth prospects.
