SAT flags fine-print disclosures as non-compliance
The Securities Appellate Tribunal (SAT) said that companies cannot hide important information in small print or fine details.
They must clearly tell everyone about big events.
In a case involving Varun Beverages and Tanzania Bottling Company, SAT said that when a big deal was canceled, the company did not tell everyone properly.
They just mentioned it in small print in their financial report.
SAT said this is not good enough and asked SEBI and the stock exchange to look at it again.
Because of this, Tanzania's tax authority took action and the company had to pay a lot of money in taxes.
SAT ruled that disclosing material events in fine print is not valid disclosure under SEBI's listing regulations.
The case involved the termination of a share purchase agreement (SPA) between Varun Beverages Ltd (VBL) and Tanzania Bottling Company S.A. (TBC).
SAT directed SEBI and NSE to re-examine whether the termination required mandatory disclosure under LODR Regulations.
Tanzania Revenue Authority took enforcement action, including freezing bank accounts, based on inadequate disclosures.
TBC was compelled to pay $4.26 million in capital gains tax due to the dispute.
