Permira, Warburg to Acquire Clearwater Analytics for $8.4B

A group of private equity firms, led by Permira and Warburg Pincus, has agreed to buy Clearwater Analytics, a company that makes software for investing and accounting.

The deal is worth $8.4 billion, including debt.

Clearwater's shareholders will get $24.55 for each share they own.

This price is about 10% higher than the stock's last closing price and 47% higher than the price before talks about the sale started.

Other investors, like Temasek Holdings and Francisco Partners, are also part of the deal.

Clearwater can look for other offers until January 23, 2026.

The deal is expected to finish in the first half of 2026.

Clearwater's shares have gone down about 19% this year.

The company makes software for financial services and recently bought another software company, Enfusion Inc., for $1.5 billion.

Some investors wanted Clearwater to find the best price if it got offers to buy it.

Permira and Warburg first invested in Clearwater in 2020 and helped it go public in 2021.

Both firms have been busy buying and selling other companies recently.
