SAT Upholds SEBI Ruling on Linde India's Transactions
The Securities Appellate Tribunal (SAT) has supported a decision made by SEBI, which is like a rule-maker for the stock market.
SEBI had told Linde India, a company that makes industrial gases, to combine all its business deals with a related company, Praxair India, when checking if these deals are big enough to matter to shareholders.
Linde India didn't agree and tried to appeal, but SAT said no and agreed with SEBI.
The issue started after a big global merger in 2020, where Linde India and Praxair India divided their business areas.
Linde India thought only deals within a single contract should be combined, but SEBI and now SAT say all deals with a related company should be combined to see if they are important.
This is to make sure everything is fair and clear for the people who invest in the company.
SAT dismissed Linde India's appeal and upheld SEBI's 2024 order on related-party transactions.
SEBI directed Linde India to aggregate all RPTs with a single related party in a financial year.
SAT called Linde India's interpretation of the rules absurd and against the regulation's purpose.
The agreement between Linde India and Praxair India was deemed a related-party transaction.
The background involves a 2020 JV agreement following the global merger of Linde AG and Praxair.
