Tata Dispute Prompts Indian Companies to Reassess Shareholder Rights

Tata Sons is the main company that oversees the large Tata business group.

Tata Trusts, a charity group, owns most of Tata Sons.

The two sides disagree about how much power the charity’s representative has on important decisions.

Tata Trusts says Noel Tata’s single opposing vote should have stopped the decisions.

Tata Sons says he needed the other trust representative’s support, so the board could use a normal majority vote.

The board reappointed N. Chandrasekaran as chairman and also rejected opposition to a possible stock-market listing.

Because of this disagreement, other Indian business owners and investors are checking their contracts more carefully.

They want to know whether a company board can make a decision before an owner gets a legal remedy.

Lawyers say Tata’s special structure makes the dispute important but unusual.
