Tata Sons Reappoints Chandrasekaran as Trusts Call Vote Illegal
Tata Sons is the company that oversees the Tata Group.
Its board voted to keep N. Chandrasekaran as chairman for five more years.
His current term ends on February 20, 2027, so the proposed new term would begin the next day.
Noel Tata, who leads Tata Trusts, voted against keeping him.
Tata Trusts owns about two-thirds of Tata Sons and says the vote was not legally valid.
The Trusts say both of their nominee directors needed to support the decision.
Tata Sons says Chandrasekaran changed his mind after the board asked him to stay.
His position as a company director still needs shareholder approval.
The disagreement also involves whether Tata Sons should be listed on the stock market.
Tata Sons’ board voted to reappoint N. Chandrasekaran as executive chairman for five years beginning February 21, 2027.
Noel Tata voted against the proposal, while reports variously described four or five directors as supporting it.
Tata Trusts called the resolution illegal and a legal nullity, saying both Trust-nominated directors needed to approve it.
Tata Sons said Chandrasekaran reconsidered his August decision not to seek another term after a board request.
The board also moved toward regulatory compliance and a possible Tata Sons listing, which Noel Tata and Tata Trusts oppose or question.
