Chandrasekaran Family TVS Warehouse Link Raises Tata Governance Questions

Chandrasekaran Family TVS Warehouse Link Raises Tata Governance Questions

A company connected to N Chandrasekaran’s wife and son is developing a warehouse on land leased from TVS Motor.

The project is expected to cost about ₹106.3 crore.

HDFC Bank offered the company a ₹60 crore construction loan.

The connection became important because former TVS chairman Venu Srinivasan supported Chandrasekaran’s new term as Tata Sons chairman.

Srinivasan is also a Tata Trusts vice-chairman and sits on a Tata Sons committee that reviews the chairman’s performance.

Tata’s rules say directors must report real or possible conflicts involving close family members.

Tata Sons said the company’s creation was disclosed to companies where Chandrasekaran is chairman.

However, it said the TVS transaction did not need to be disclosed to Tata Sons or other Tata companies.

The board’s records do not publicly establish whether Srinivasan or Chandrasekaran separately disclosed the relationship.
