Sebi Seeks to Regulate Unlisted Share Market
The Securities and Exchange Board of India (Sebi) wants to regulate the unlisted share market, which is currently not well-controlled.
Legal experts agree that Sebi should be given the power to oversee this market.
They believe that Sebi can do this job without needing a new regulator, just by changing some laws.
Right now, there are big differences in prices between unlisted shares and those sold during initial public offerings (IPOs).
For example, Tata Capital's shares were much more expensive in the unlisted market than when they were officially sold.
Experts say this happens because there are no rules to make sure everything is fair and clear.
Sebi is thinking about creating a special platform for trading shares before IPOs, which could help fix some of these problems.
Sebi is in talks with the Ministry of Corporate Affairs to regulate the unlisted share market.
Legal experts suggest broadening Sebi's jurisdiction through legislative amendments rather than creating a new regulator.
Sebi already has the power to regulate public limited companies' unlisted securities under the Securities Contracts Regulation Act, 1956.
Significant price differentials exist between unlisted shares and IPO prices, such as Tata Capital's grey market price of over ₹1,100 compared to its IPO debut price of ₹330.
Sebi is considering a pilot program for pre-IPO trading on a regulated platform to address current malpractices.
