Tata Trusts proposes ₹25,000 crore SP Group stake buyout
The Shapoorji Pallonji Group wants to turn some of its Tata Sons shares into money.
Its proposal is for Tata Sons to buy enough shares to provide at least ₹25,000 crore.
The sale would happen in two steps over 18 months.
The shares are held by Sterling Investments Corporation Private Limited and Cyrus Investments Private Limited.
Tata Sons would seek approval for the transaction through the National Company Law Tribunal.
The shares would be valued using fair-value rules under India’s income-tax regulations.
Tata Trusts says Tata Sons should not be listed on the stock market.
Instead, it wants the company to consider other ways to raise the money.
Noel Tata presented the Tata Sons board with an SP Group proposal to monetise part of its stake for at least ₹25,000 crore.
The proposed buyout would occur in two tranches over 18 months through selective capital reduction before the National Company Law Tribunal.
Sterling Investments Corporation Private Limited and Cyrus Investments Private Limited would sell part of their Tata Sons shares.
Tata Trusts said it does not support a public listing of Tata Sons and wants other permissible alternatives thoroughly assessed.
Possible funding sources include internal cash flows, sales of listed investments, new investors in newer businesses and public offerings of some Tata businesses.
