Solar Industries to Acquire South Africa’s Omnia for $1.36 Billion
Solar Industries is an Indian company that makes explosives and related systems for mining and other industries.
It plans to buy Omnia Holdings, a company based in South Africa.
The deal is worth about $1.36 billion and would be paid entirely in cash.
Solar will make the purchase through its subsidiary, Solar SA Investments.
The deal still needs approval from regulators and Omnia’s shareholders.
Omnia works in mining and agriculture across 23 countries.
Its mining business includes explosives, electronic detonators and digital blasting services.
Solar says the purchase will make its mining business much larger in Africa and other countries.
The deal is expected to be completed in early to mid-2027 if the required approvals are received.
Solar Industries will acquire all outstanding shares of South Africa’s Omnia Holdings for about $1.355 billion in cash.
The purchase will be made through Solar SA Investments and requires regulatory clearances and Omnia shareholder approval.
The transaction is expected to close in early to mid-2027, after which Omnia would be delisted from the Johannesburg Stock Exchange and A2X Markets.
Omnia operates mining and agriculture businesses in 23 countries, serves customers in more than 40 countries and reported about $1.41 billion in revenue.
Solar expects the deal to expand its African mining platform and drive multi-fold growth in Africa-related mining revenue from fiscal 2028.
