Tata Motors Share Split: Tax-Free Demerger Carries Investor Cost Basis Caveats
Imagine you had one toy, and you decided to split it into two new toys.
Tata Motors did something similar with its company.
Now, if you owned shares in Tata Motors, you have shares in two new, separate companies.
Getting these new shares doesn't cost you any extra tax right away.
But, it's like when you got your original toy; you paid a certain amount for it.
After splitting the company, you need to figure out how much of that original price belongs to each of the two new companies.
If you don't do this correctly, when you eventually sell these new toys (shares), you might end up paying the wrong amount of tax.
The tax man says the time you've owned the original toy also counts for the new toys, so that helps decide if you pay short-term or long-term taxes.
Tata Motors has demerged into two separate entities: Tata Motors Ltd (CV Co.) and Tata Motors Passenger Vehicles Ltd (PV Co.).
Shareholders receive one share in each new entity for every original Tata Motors share held as of October 14.
The allotment of these new shares is tax-free under Indian law.
Tax expert Sujit Bangar warns investors must carefully split their original share cost basis between the CV Co. (31.15%) and PV Co. (68.85%) to correctly calculate future capital gains.
The holding period for the new shares is the same as the original Tata Motors shares, impacting short-term vs. long-term capital gains tax.
