SEBI Revises Settlement Formula, Adds Fast-Track Routes
SEBI has made new rules for settling some securities-law cases.
The rules explain how the settlement amount is worked out, starting with a figure linked to the minimum penalty for the violation.
The amount can then change based on the case and legal costs.
Measurable wrongful gains and certain losses will be recovered separately, not counted in the base amount.
The settlement can also require corrective steps, such as making disclosures or returning diverted funds.
The rules create two faster ways to handle eligible cases.
One applies to cases with settlement amounts of up to Rs 10 lakh, while the other applies to specified kinds of violations.
SEBI says the changes are intended to make settlements clearer and more predictable while preserving a deterrent against violations.
SEBI’s Settlement Regulations, 2026 set a settlement amount using a base linked to the minimum penalty for the violation, adjusted for case-specific factors and legal costs.
Quantified wrongful gains, losses avoided, and investor losses are excluded from the base amount and may be recovered separately through disgorgement.
Settlement terms comprise the settlement amount, applicable disgorgement, and remedial and regulatory terms, previously called non-monetary terms.
Two fast-track routes are introduced: one based on settlement amount and another based on specified violations, including certain disclosure-related violations.
Under the monetary route, eligible cases with settlement amounts of up to Rs 10 lakh move from an internal committee directly to a panel of whole-time members; some cases involving misrepresentation or fund diversion may be settled with corrective measures.
