India Approves Corporate Law Overhaul to Ease Compliance
India’s parliament has decided to change its company rules to make it easier for businesses to follow the law.
The new rules will stop many small mistakes from being treated as crimes and will instead use fines.
Small companies can also skip some social responsibility spending.
The changes let certain trusts become limited‑liability partnerships and allow companies in special financial zones to use foreign money.
The committee listened to many suggestions and added new rules for online meetings and easier paperwork.
Joint Parliamentary Committee endorses Corporate Laws (Amendment) Bill, 2026 to simplify procedures and reduce compliance burdens.
Bill replaces criminal penalties for procedural defaults with civil fines, keeping criminal sanctions for serious fraud.
CSR relaxations include exemptions for eligible small companies, reduced fees, and optional professional certification for LLPs.
New provisions allow specified trusts and IFSC entities to convert to LLPs, maintain foreign‑currency share capital, and adopt a digital‑first governance framework.
Committee received 130 memoranda, held 25 sittings, incorporated stakeholder suggestions, and appended two dissent notes.
