Triveni Engineering's Strategic Restructuring Plan Approved
Triveni Engineering is a company that makes sugar, ethanol, water treatment plants, and precision gearboxes.
Recently, its shareholders approved a plan to split the company into two parts.
One part will focus on sugar and ethanol, while the other will focus on making high-margin gearboxes.
The goal is to make each part more valuable by itself.
The gearbox business is very profitable, but the sugar business is not.
By separating them, the company hopes to attract more investors and get a better price for its stocks.
The plan is expected to be completed by early 2027.
Triveni Engineering's shareholders approved a restructuring plan to merge its sugar business and spin off the power transmission division.
The plan involves merging Sir Shadi Lal Enterprises Limited (SSEL) into the parent company and then separating the power transmission business into a new entity called Triveni Power Transmission Limited (TPTL).
Triveni will retain 30% of TPTL post-demerger, maintaining strategic control while giving the power transmission business independence.
The power transmission division reported a 42% PBIT margin in Q2 2025, significantly higher than the sugar and ethanol businesses.
The restructuring is expected to be completed by Q4 FY26 or Q1 FY27, with the final approval pending from the NCLT.
