Ambuja Cements Approves Subsidiary Mergers
Ambuja Cements, a company owned by the Adani Group, has decided to merge four of its subsidiaries—ACC Ltd, Orient Cement, Sanghi Industries, and Penna Cement—with itself.
This means these companies will become part of Ambuja Cements.
The company will give new shares to investors in exchange for their shares in the subsidiaries.
Ambuja Cements already owns a large part of Orient Cement.
The merger will help all the companies work together better, make decisions faster, and save money by combining their operations.
This will make the combined company stronger, more efficient, and more profitable.
The merger is expected to save at least Rs 100 for every metric tonne of cement produced.
The shares of Orient Cement and Ambuja Cements went up by up to 10% and 2% respectively, while ACC shares went down by 0.8%.
Ambuja Cements' board approved the merger of subsidiaries ACC Ltd, Orient Cement, Sanghi Industries, and Penna Cement with itself.
The merger aims to unlock operational efficiencies, optimize manufacturing and logistics, and enhance long-term shareholder returns.
Ambuja Cements will issue 328 shares for every 100 shares of ACC and 33 shares for every 100 shares of Orient Cement to eligible shareholders.
The merger is expected to save at least Rs 100 per metric tonne of cement produced by optimizing costs and improving margins.
The amalgamation will eliminate structural duplication, reduce administrative costs, and enable faster, more agile decision-making.
