Spain raises takeover stake disclosure threshold from 1% to 3%

A Spanish government decree published on October 7 raised the disclosure threshold during takeover bids from 1% to 3%.

The change applies to shareholders in companies receiving takeover offers, including Azkoyen, a vending-machine maker in Navarra.

Investors based in tax havens still have to disclose stakes once they reach 1%.

On October 28, stakes of between 1% and 3% held in Azkoyen by several investors disappeared from the securities regulator’s public records.

Hedge funds that bet on takeover outcomes can often build stakes below 3%, so their holdings may now go unnoticed in most cases.

The government says the change cuts administrative work while keeping transparency in line with European rules, but the previous 1% threshold was intended to show quickly whether investors might affect a deal.

The new rule could make it harder to see who is building stakes during a bid; the UK still requires disclosure at 1% during takeovers.
