Uber to finance SSW Partners’ €1.4bn purchase of 14 Delivery Hero markets
Uber has agreed to finance SSW Partners’ €1.4 billion purchase of 14 markets from Germany’s Delivery Hero as part of Uber’s bid for the company.
The markets include Spain, where the business operates under the Glovo brand, as well as 13 other countries.
SSW Partners is expected to take over the markets and then sell them, but the fund has no experience managing these kinds of businesses.
The deal also requires the new owner to use Delivery Hero’s technology for three years, which could make the assets harder to sell.
Glovo faces more than €800 million in penalties in Spain over its treatment of workers, and the deal needs approval from the Spanish government.
Uber’s financing could raise competition concerns because authorities may question whether SSW Partners is truly an independent buyer; the European Commission could assess the wider deal as one transaction.
Regulators are still reviewing the deal, and Uber could have to find another buyer if SSW Partners is not considered a credible one.
Uber has committed to finance SSW Partners’ €1.4 billion purchase of 14 Delivery Hero markets, including Glovo’s Spanish business.
The financing arrangement could complicate competition reviews of Uber’s proposed offer for Delivery Hero, El Mundo reports.
SSW Partners will subscribe to promissory notes for the investment, leaving Uber to assume the operation’s financial risk.
The 14 markets are to be separated from the broader deal amid concerns about the combined market share of Uber and Delivery Hero.
The assets are expected to be sold on, but SSW Partners and a buyer will be contractually required to use Delivery Hero technology for three years.
